Sales & Purchase: Standard Terms and Conditions

1. Pricing
All prices are listed in the gallery’s nominated currency and are inclusive/exclusive of VAT where stated. Prices are subject to change without notice and the gallery reserves the right to correct pricing errors at any time before a sale is confirmed.
2. Availability
All works are offered subject to availability. In the event that a purchased work has already been sold or is otherwise unavailable, the gallery will notify the prospective buyer promptly.
3. Purchase Agreement
A sale is only confirmed upon receipt of a completed purchase agreement (or equivalent written confirmation) and receipt of the agreed deposit or full payment. Verbal or informal commitments do not constitute a binding sale.
4. Dimensions and Framing
The gallery makes every effort to describe artworks accurately, including their dimensions and framing status. The gallery strongly advises against pre-ordering frames for artworks in advance of viewing them or receiving them in person. The gallery cannot be held liable for frames that buyers may order independently in advance but which later do not fit the artwork size.
5. Payment Terms
Full payment is required within 14 days of invoice unless a payment plan has been agreed in writing. The gallery reserves the right to cancel a sale and re-offer the work if payment is not received within this period or the stipulated period. Accepted payment methods are explained via email.
6. Payment Plans
Where a payment plan is agreed, the work will remain the property of the gallery or artist until the final instalment has been received in full. Storage during the payment period may be provided at no charge for a specified period, after which storage fees may apply.
7. Shipping, Delivery, Import Duties, Taxes & Customs Clearance
The gallery will arrange packing and shipping at the buyer’s expense unless otherwise agreed. Risk of loss or damage passes to the buyer upon handover to the agreed courier agent. The gallery provides complimentary insurance-in-transit up to the value of USD 1500. The gallery recommends that buyers arrange additional adequate insurance for transit, whether via the gallery or independently.
Delays arising during shipping or transit by a third party (eg. Fedex) fall beyond the gallery’s control. The gallery accepts no liability for delays, damage or losses caused by third parties.
The buyer is solely responsible for all import duties, customs tariffs, value-added tax (VAT), goods and services tax (GST), and any other taxes, levies, or charges imposed by the destination country upon the importation of the work. These costs are not included in the purchase price or any quoted shipping estimate and will not be covered by the gallery under any circumstances.
It is the buyer’s responsibility to determine, prior to purchase, what import duties and taxes may apply in their jurisdiction. The gallery is not able to advise on the tax and customs regulations of any country other than its own, and recommends that buyers consult a licensed customs broker or freight forwarder in their country of residence before completing a purchase, if necessary.
Where a work is shipped internationally, the gallery will complete export documentation accurately and in good faith, including declared values and descriptions as required by law.
Delays arising from customs inspection or clearance processes fall beyond the gallery’s control. The gallery accepts no liability for storage fees, demurrage charges, or damage incurred during customs hold.
If a work is refused entry into the destination country or is seized by customs authorities, the gallery will cooperate reasonably with the buyer to facilitate its return or onward transit, but cannot guarantee the outcome and accepts no financial liability in such circumstances.
8. Condition Reports
Condition reports are available on request prior to purchase. The gallery makes every effort to describe works accurately but cannot be held responsible for minor variations between digital reproductions and the physical work, due to differences in screen calibration and reproduction processes.
9. Returns & Refunds
Sales are generally final. Returns may be considered at the gallery’s discretion within a specified period (typically 7 to 14 days of receipt), provided the work is returned in its original condition and packaging, and provided that the buyer covers the cost of returning the work. Commissioned works and works sold at auction or art fairs are non-returnable.
10. Title & Provenance
The gallery warrants that it has the right to sell each work and that, to the best of its knowledge, the work is free from third-party claims. Provenance documentation will be provided where available.
11. Certificate of Authenticity
Where applicable or requested, a certificate of authenticity will be issued at the time of sale. This document should be retained as it forms part of the work’s provenance record.
12. Resale Royalty
In jurisdictions where artist resale royalty rights (droit de suite) apply, the buyer acknowledges that future resales of the work may attract a royalty payable to the artist or their estate. The gallery can provide guidance on applicable legislation upon request.
13. Copyright
Purchase of a work does not transfer copyright. The artist retains all reproduction and intellectual property rights. The buyer may not reproduce the work commercially without the written consent of the artist or their estate.
14. Private Treaty & Negotiated Sales
Works offered through private treaty are subject to confidentiality. The buyer agrees not to disclose the purchase price or terms to third parties without the gallery’s written consent.
15. Force Majeure
The gallery shall not be liable for delays or failures in performance resulting from circumstances beyond its reasonable control, including natural disasters, epidemic outbreaks, shipping disruptions, or governmental restrictions.
16. Governing Law
These terms are governed by the laws of the jurisdiction in which the gallery is registered, and any disputes shall be subject to the exclusive jurisdiction of the courts of that territory.
